NUMBER ONE, THIS LITTLE LIGHT RAIL IS NOT GOING TO GO INTO SOUTH TAMPA, SO IF ANYBODY THINKS THEY'RE GOING TO RIDE DOWN DALE MABRY, THEY'RE WRONG BECAUSE IT AIN'T GOING TO GO TO THE BASE. THE TAMPA PORT AUTHORITY OWNS LAND WITHIN THE AREA CALLED PORT REDWING THAT HAS BEEN UNDER DEVELOPMENT FOR INDUSTRIAL MARITIME USES FOR SOMETIME. WE'RE WORKING HARD TO EXPAND THAT AREA. WE RECENTLY FINISHED THE CONSTRUCTION OF BERTHS 300 AND 301. WE'VE DESIGNED RAIL AND ROAD IMPROVEMENTS TO THE SITE. HANSON PIPE & PRECAST, LLC, OWNS APPROXIMATELY 31.24 ACRES OF LAND AND IMPROVEMENTS LOCATED ON U.S. HIGHWAY 41 IN GIBSONTON. THE PROPERTY IS CONTIGUOUS TO PORT REDWING, AND ITS LAND USE AND ZONING ARE CONSISTENT WITH THE TPA MASTER PLAN. THE PROPERTY INCLUDES TWO INDUSTRIAL BUILDINGS WITH OVERHEAD CRANE CAPACITY AND SEPARATE OFFICE AND MAINTENANCE BUILDINGS. WE REQUIRE THE USE OF THE PROPERTY FOR A DIRECT ROAD EXTENSION FROM HIGHWAY 41 TO PORT REDWING BERTHS AND EXTENSION OF RAIL THROUGH THE SITE AS WELL. THE ORIGINAL PLAN FOR ROAD AND RAIL EXTENSION TO PORT REDWING REQUIRED A LAND SWAP BETWEEN TPA AND HANSON PIPE THAT WOULD HAVE RESULTED IN SUBSTANTIAL COSTS TO TPA TO RELOCATE HANSON PIPE FACILITIES. TPA ALSO WOULD HAVE INCURRED ADDITIONAL COSTS TO RELOCATE TRANSMISSION POLES FOR THE RAIL EXTENSION THROUGH A TRANSMISSION CORRIDOR OWNED BY TAMPA ELECTRIC COMPANY. OUR STAFF DETERMINED THAT WE COULD LOWER THE ROAD AND RAIL EXTENSION COSTS BY AN ESTIMATED $1.3 MILLION BY PURCHASING THE ENTIRE PROPERTY FROM HANSON PIPE. WE'VE NEGOTIATED THE TERMS OUTLINED IN YOUR AGENDA ITEM. A PUBLIC HEARING WAS HELD ON JULY 6th, 2010, AND WE RECEIVED ONE COMMENT WHICH WAS IN SUPPORT OF THE ACTION. ON JUNE 20th, 2007, THE TPA ENTERED INTO AN OFFICE SPACE LEASE AGREEMENT WITH RIVER CONSULTING, LLC, FOR APPROXIMATELY 5900 SQUARE FEET OF OFFICE SPACE ON THE FOURTH FLOOR OF THE NORTH WING IN THIS BUILDING. THAT LEASE EXPIRES ON AUGUST 2011. IN JUNE 2008, HALCROW, INC., PURCHASED RIVER CONSULTING, LLC, AND THE LEASE WAS SUBSEQUENTLY ASSIGNED TO HALCROW. HALCROW DESIRES NOW TO CONSOLIDATE THEIR TAMPA OFFICES INTO A SINGLE LOCATION WITH A NEW LEASE OF 12,637 SQUARE FEET ON THE SECOND FLOOR OF THE SOUTH WING OF THIS BUILDING AND HAS REQUESTED TERMINATION OF THEIR EXISTING LEASE. THIS NEW LEASE AREA WAS INITIALLY LEASED TO THE CITY OF TAMPA BACK IN 1999 WHICH, IN TURN, SUBLEASED THE ENTIRE SPACE TO THE WORLD TRADE ASSOCIATION OF TAMPA BAY, INC. THE SPACE WAS BUILT OUT FOR EXECUTIVE OFFICE SUITES ON BEHALF OF THE WORLD TRADE CENTER, AND THUS IT WILL REQUIRE SUBSTANTIAL RENOVATIONS FOR NORMAL PROFESSIONAL OFFICE USE. HALCROW AND TPA HAVE NEGOTIATED THE TERMS OUTLINED IN YOUR AGENDA ITEM. CURRENTLY THERE ARE SEVERAL TENANTS THAT LEASE OFFICE SPACE WITHIN THE NEW PREMISES, WHICH MAY BE RELOCATED TO THE THIRD FLOOR NORTH WING. ON OR ABOUT AUGUST 1st, 2010, THESE EXISTING TENANTS WILL TEMPORARILY BE RELOCATED TO THE FIRST FLOOR SOUTH WING IN ORDER FOR HALCROW TO BEGIN ITS CONSTRUCTION OF THEIR IMPROVEMENTS. UPON COMPLETION OF ARRANGEMENTS FOR RELOCATION OF THESE TENANTS, OUR STAFF INTENDS TO RELOCATE THEM TO THE THIRD FLOOR. WE WILL WAIVE THE RENT FOR THESE TENANTS DURING THEIR TEMPORARY MOVE TO THE FIRST FLOOR TO OFFSET THEIR MOVING COSTS. AS YOU KNOW, AT THE LAST MEETING I QUESTIONED THE WRITING OFF OF THE $2.5 MILLION CONCERNING A TENANT AT THE PORT, AND I DO NOT BELIEVE THAT THE 2.5 MILLION OWED UNDER THE MINIMUM TONNAGE GUARANTEE WAS INCLUDED IN THE AGED RECEIVABLES REPORT, AND AS FIDUCIARIES, I THINK WE MUST BE MADE AWARE OF SUCH OUTSTANDING AMOUNTS DUE. WE LIST TENANTS IN ARREARS IN RENT. I BELIEVE WE ALSO MUST LIST THOSE WHO HAVE AMOUNTS DUE AND OWING UNDER MINIMUM TONNAGE GUARANTEES SO THAT THE COMMISSIONERS CAN BE MADE AWARE OF POTENTIAL DEFAULTS AND FINANCIAL ISSUES, SO I WOULD JUST ASK IF WE COULD HAVE THAT SO WE'RE MORE CURRENT AND COGNIZANT OF -- >>RICHARD WAINIO: YEAH. IF I MAY, CAN I COMMENT ON WHY THAT WOULDN'T HAVE BEEN REFLECTED IN THE RECEIVABLES? THE SITUATION WITH TRINITY IS DIFFERENT FROM A COMPANY THAT'S OUT HERE OPERATING AND THEN AT SOME POINT STOPS PAYING ITS MONTHLY RENTS OR ITS BILLS, THE MONIES DUE TO US. THOSE ALL ARE REFLECTED IN -- AS MONEY THAT, YOU KNOW, IS PAYABLE AND DUE AND WE REFLECT IT ACCORDINGLY, AND HOPEFULLY WE COLLECT ALL THAT MONEY AT SOME POINT. FROM TIME TO TIME COMPANIES OBVIOUSLY GO BANKRUPT, AND WE END UP HAVING TO WRITE VARIOUS AMOUNTS OFF. THE TRINITY SITUATION WAS DIFFERENT IN A NUMBER OF RESPECTS. FIRST OF ALL, THEY NEVER STARTED OPERATIONS. THEY HAD ALL INTENTIONS, THEY HAD A CONTRACT WITH US TO DO A LOT OF THINGS. THEY CAME IN AND THEY INVESTED ALMOST $4 MILLION IN BUILDING A BERTH AND DOING ALL THE UPLAND WORK AND THE ENVIRONMENTAL WORK AND SO ON, SO THEY PUT IN $4 MILLION IN INVESTMENTS. THEY WERE PAYING THEIR RENT ON A MONTHLY BASIS AT THE COST OF $33,000 A MONTH, AND THEY WERE DOING THAT ON TIME EVERY MONTH. THEY PAID US OVER $800,000 IN RENT, BUT AS WE APPROACHED THAT POINT WHERE THEY WOULD START UP OPERATIONS AND IT WOULD BE ONLY AFTER THAT TIME WHERE MAGS, MINIMUM ANNUAL TONNAGE GUARANTEES, WOULD THEN START TO KICK IN, IT WAS APPARENT TO BOTH OF US, BOTH PARTIES, THAT GIVEN THE STATE OF THE ECONOMY, THEY WERE NOT GOING TO BE ABLE TO OPERATE UNDER THE TERMS OF THE CONTRACT, THEY WOULD NOT BE MOVING CARGO, CERTAINLY NOTHING THAT APPROACHED THE MINIMUMS, AND SO THEY WERE AT THAT POINT BASICALLY GOING TO WALK AWAY. WE HAD TWO CHOICES AT THAT POINT. ONE WAS TO ALLOW THEM TO WALK AWAY AND -- OR TO SIT WITH THEM AND ENGAGE WITH THEM AND SEE IF WE COULD WORK THROUGH THE DIFFICULT PERIOD AND -- BY BASICALLY EXTENDING TO A LATER DATE THE TIME WHEN THEY WOULD BEGIN OPERATIONS. INSTEAD OF STARTING NOW, YOU KNOW, ON DAY ONE UNDER THE TERMS OF THE CONTRACT, TO WORK OUT A NEW ARRANGEMENT WHERE THEY WOULD NOT START THEIR OPERATIONS BASICALLY FOR A YEAR OR TWO DOWN THE ROAD WHEN THE ECONOMY PICKED UP, AND SO WE ENGAGED IN DISCUSSIONS WITH THEM. DURING THOSE DISCUSSIONS THEY WERE NOT OPERATING, THEY WERE NOT MOVING CARGO, AND THEY -- YET THEY WERE STILL PAYING $33,000 A MONTH, SO WE WERE -- WE WERE MAKING A LOT OF MONEY OFF RENT, WE WERE TALKING TO THEM ABOUT POSSIBLY COMING TO OUR BOARD TO CHANGE THE TERMS OF THE CONTRACT TO ALLOW THEM TO CONTINUE. AS WE WENT THROUGH THIS, THEY CAME TO THE REALIZATION THAT THEY WOULD NOT BE ABLE TO OPERATE SUCCESSFULLY AND THAT THEY WOULD BE LEAVING, SO WE THEN NEGOTIATED A DEPARTURE ARRANGEMENT, WHICH WAS THAT THEY HAD TO BE PAID UP FULLY ON THEIR RENT THE DAY THEY LEAVE. THEY AGREED TO PAY US $350,000 IN CASH, AND THEY TURNED OVER TO US ALMOST $4 MILLION IN INFRASTRUCTURE AND OTHER INVESTMENTS THAT WERE MADE, BUT THEY NEVER MOVED ANY CARGO, THERE WAS NEVER ANY MAGS. NONE OF THAT WAS INVOLVED, AND THE MAG ONLY GETS -- GETS PAID AT THE END OF A YEAR, AND SO DURING THAT WHOLE ENTIRE FIRST YEAR THEY DIDN'T MOVE ANY CARGO, SO -- AND WE WERE TALKING TO THEM ABOUT MAKING CHANGES THAT WOULD ALLOW THEM TO CONTINUE TO OPERATE, SO THAT'S WHY, BECAUSE THEY NEVER OPERATED, AND WE KNEW WE WERE NEVER GOING TO COLLECT THE MAG AND WE HAD NEVER COLLECTED A PENNY. THAT'S WHY THAT WAS NOT REFLECTED ON THE RECEIVABLES BECAUSE WE OBVIOUSLY WOULD HAVE SIMPLY HAD TO WRITE IT OFF, SO BASICALLY IT NEVER OCCURRED. IT'S LIKE AN EVENT THAT NEVER OCCURRED IN THAT SENSE.
